AGM

Dear EDTNA/ERCA Members,
It is the first time in many years we have so many EDTNA/ERCA Volunteers who would like to candidate for an EC Member Position. This shows that we are on the right track, giving the inspiration and enthusiasm to join us and take a part of the EDTNA/ERCA Leadership. During the last years, we have been working hard to create a friendly and positive atmosphere to re-take the position as the Leading Nurses Association within Renal Care. 

This year we have 6 people who candidates for an EC Member position and we have decided to open up for all 6 candidates and for you to vote. However, this year we have the possibility to have 3 of the Candidates to join us. The reasons are simple. It takes time to get aligned within a Team, it demands a very thorough transition phase to be successful and finally, budget limitations. We need to consider these reasons, since we need to create a successful Team which works in the same direction. If we become to many at the same time, we will not be able to work in an efficient way and we will not get return on our investments. This is our responsibility to manage and be successful, and I as a President I take the full responsibility.

We are pleased to present to you this years’ Candidates for elections to the new positions of our Executive Committee (EC) Members. The results will be presented during the Annual General Meeting in Genoa, Italy, September 16th, 2018. ELECTION AND VOTING PROCESS 
The EC currently consists of 5 Members, 4 elected Members and 1 Member serving as the Co-opted Member. In the view of EDTNA/ERCA Constitution the Association hereby advertise three (3) vacancies as EC Members within the EC, effective as per 16th of September 2018. You can only vote for three (3) Candidates you would like to see as the new EC Members.

Please be aware of that the Re-Election of the President is not included in the 3 vacancies since this is only for the Election of new EC Members.

Next AGM - September 16th, 2018 in Genoa, Italy

We would like you, who are a member, to take this important opportunity to have a say in the Association’s decisions, activities, and policies. We strongly encourage you to attend the Annual General Meeting to share with us your thoughts and opinions.

Even if some of you will not attend our next International Conference in Genoa, 2018, we encourage you to actively participate by submitting your Motions, applying for the Executive Committee or nominating a person to receive the highest recognition which is to become a Lifetime Member. More information will follow during spring 2018.

EDTNA/ERCA Motions for Election at AGM September 16th
We hereby have the pleasure to inform you of the motions that will be presented to you for voting at the Annual General Meeting in Genoa, Italy, September 16th, 2018.

MOTIONS TO BE PRESENTED AT THE AGM FROM THE EXECUTIVE COMMITTEE

MOTION 1 - NEW CONSTITUTION

Introduction
At the Annual General Meeting (AGM) 2017 the EC asked the AGM to approve changes to the Constitution to enhance compliance with requirements for Swiss Association.
At the end of 2017 the Executive Committee learned that
  • The changes approved are not sufficient for a successful renewal of registration as Non-for-Profit Organization in the Canton of Lucerne and commercial registration
  • The trustee office who gave EDTNA/ERCA domicile over more than 20 years will finally abandon the activity to legally host entities such as charities and foundations in Switzerland
  • Registration of EDTNA/ERCA at the chamber of commerce is prerequisite for achieving Non-for-Profit Status and financial, fiscal and legal activity in Switzerland
Consequently, the EC decided to move the legal venue from the Canton of Lucerne to the Canton of Nidwalden and to hold Swiss and legal office in the premises of Alpina Treuhand AG, Seestrasse 91, Hergiswil, NW and to apply there for commercial and legal registration. Under the new address EDTNA/ERCA is already registered for Swiss VAT for a long time.

The current Constitution and other documents were prepared in a parallel version of German and English, the draft was amended in a number of points for compliance with the official constitutional template for Swiss Associations and was put forward to Swiss lawyers for review.

The review showed that some parts such as the setup of the Executive Committee, terms of member and officers, elections processes and further explanations shall be described by ”Policy and Procedure” and not in the Constitution. The core of a Swiss Constitution shall be to outline the purpose of the Association which is unchanged in the draft and the institutions and the authority, so the WHAT and WHO, but to have the HOW and WHEN in an operational document, the Policy and Procedure.

The Executive Committee is proposing a new draft Constitution which shall be in full compliance with Swiss regulations for Associations and which has been reviewed and is fully supported by Swiss lawyers holding office in the Canton of Nidwalden.

The Executive Committee is convinced EDTNA/ERCA should keep the legal office in Switzerland.
